This End User License Agreement (“EULA” or “Agreement”) is a legally binding agreement between you (“User” or “you”) and TAPLAY.IO and its affiliates (collectively, “we” or “us”). By installing, using, or otherwise accessing our services, you agree to the terms of this EULA. If you do not agree, please do not install, use, or access our services. Your right to use our services depends on your compliance with this EULA.
1. Scope
- This EULA covers your registration and use of your account (“Your Account”).
- Your downloading, installing, and/or using our games (including but not limited to PC games, web games, HTML5 games, mobile games, tablet/TV games, or any other form), as well as any updates we may release (“Software”).
- Any related services we offer that connect to the Software (“Services”).
- Any virtual goods or virtual currency you may obtain through the Software (“Virtual Goods” and “Virtual Currency”).
- All other text, images, audio, video, interactive content, and any other media or information made available to you through the Services (together with the Software, Services, Virtual Goods, and Virtual Currency, the “Licensed Items”).
You must comply with this EULA and all applicable laws and regulations wherever you use the Licensed Items. If you are not of legal age in your jurisdiction, your parent or guardian must agree to this EULA on your behalf.
2. Privacy
Our Privacy Policy (which is part of this EULA) explains how we collect, store, and use your personal information. Please read it carefully before using any Licensed Items.
3. Changes to This EULA and the Licensed Items
- We may update or revise this EULA from time to time. If you continue to use any Licensed Items after revisions are posted, you are deemed to accept the revised terms.
- We may add, change, or remove features from the Licensed Items or suspend/terminate access to the Licensed Items at our discretion and as permitted by law.
4. License Grant
We own (or license) all intellectual property rights in the Licensed Items. Subject to this EULA, we grant you a limited, personal, non-exclusive, non-transferable (unless otherwise stated), and revocable license to:
- Software License: Use the Software on your personal device for non-commercial purposes, per our instructions and this EULA.
- Services License: Use any Services that accompany the Software, in accordance with our instructions and this EULA.
- Virtual Goods and Virtual Currency License: When available, you may acquire and use Virtual Goods and Virtual Currency as allowed under this EULA and our guidelines.
- Content License: Access and use any text, images, audio, video, or other content (“Content”) provided within the Software or Services, as permitted under this EULA.
5. Your Content
When you submit or upload content (excluding personal information) within our Services (“Your Content”), you acknowledge and agree that:
- You own the rights to Your Content or otherwise have the right to provide it.
- You grant us and our affiliates a worldwide, royalty-free, sublicensable license to use Your Content for providing, promoting, and improving our Services, as well as for creating derivative works, displaying, or performing Your Content.
- We may retain or continue using Your Content in accordance with applicable law, even if you delete your account or stop using our Services (for example, if Your Content was shared with other users).
6. Prohibited Conduct
You may not (and may not allow others to) misuse the Licensed Items or violate any law or regulation in connection with our Services. This includes but is not limited to:
- Impersonating any person or misrepresenting your identity.
- Sending spam or unauthorized commercial communications.
- Posting or transmitting content that is illegal, harmful, harassing, hateful, defamatory, or in any way infringing on another’s rights.
- Interfering with or disrupting the operation of the Licensed Items or other users’ devices, software, or data.
- Attempting to circumvent security measures or reverse-engineering our software without express permission.
- Engaging in any fraudulent, abusive, or harmful behavior.
We reserve the right to remove or restrict any content or accounts that violate this EULA or applicable laws.
7. Account Management
Some services require creating an account. Your Account is for personal use only; do not share, lend, or transfer it. You are responsible for safeguarding your Account and password. If you suspect any unauthorized access, notify us immediately. We may suspend or terminate Your Account if we detect unusual or prohibited activity.
8. Liability Limitations
- We provide the Licensed Items on an “as is” basis and disclaim, to the extent permitted by law, any warranties or guarantees regarding continuous availability, correctness, or fitness for a particular purpose.
- To the extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from your use or inability to use the Licensed Items.
- In jurisdictions that do not allow the exclusion or limitation of liability, our liability will be limited to the fullest extent allowed by law.
9. Termination
- We may suspend or terminate your right to use the Licensed Items at any time if we believe you have violated this EULA or any applicable law.
- If the EULA is terminated, you must immediately cease using and delete all copies of the Licensed Items. Any Virtual Goods or Virtual Currency you have may become inaccessible, and we will not be liable for such loss.
10. Governing Law and Dispute Resolution
Unless otherwise required by local law, this EULA will be governed by the laws of the Hong Kong Special Administrative Region. Any dispute or claim arising out of or in connection with this EULA shall be resolved by arbitration under the Hong Kong International Arbitration Centre Administered Arbitration Rules, with the seat of arbitration in Hong Kong.
